Sinergroup Srl provides only through the companies such as distributors, retailers, manufacturers and assemblers.
To become a customer and access to services and products Sinergroup we require the following information:

GENERAL TERMS AND CONDITIONS OF SALE

1. Orders
All prices are net of VAT unless otherwise stated. Unless otherwise agreed in writing, the price list in force on the date the goods are shipped shall apply. Orders shall be deemed accepted by Sinergroup subject to product availability and order confirmation. Any orders placed verbally or by telephone must be confirmed in writing by the Buyer; in any event, the order confirmation issued by Sinergroup shall prevail. Goods are normally supplied in the standard packaging and standard quantities established by Sinergroup, unless otherwise agreed in writing. Products are originally packed in the quantity indicated in parentheses at the end of each item description.

2. Inspection of Goods and Claims
Upon delivery, the Buyer is required to check the number of packages, the condition of the packaging, and the apparent conformity of the goods received. Any shortages, visible damage, or irregularities must be immediately reported to the carrier and specifically noted on the delivery document. Any defects or non-conformities that are not immediately apparent must be reported to Sinergroup in writing within 8 (eight) days from receipt of the goods. After such term, the goods shall be deemed accepted.

3. Returns and Return of Goods
No returns will be accepted without the prior written authorization of Sinergroup. In all cases, any return of goods must be authorized in writing in advance by Sinergroup, upon completion of the >>RMA<< form. (download here)
Returned goods must be sent back in accordance with the instructions provided by Sinergroup. In the absence of authorization, the returned goods may be refused or otherwise not accepted. Unless otherwise agreed in writing, any delivery delays shall not entitle the Buyer to cancel the order, refuse the goods, or claim compensation or damages.

4. Suitability of Products and Buyer’s Responsibility
The Buyer is required to verify in advance that the ordered products are suitable for the intended use, application, and purpose. Sinergroup shall not be liable for incorrect product selections made by the Buyer, nor for improper use, incorrect installation, unauthorized modifications, or uses that do not comply with the technical specifications of the supplied products. In the event of improper or non-compliant use, any contractual warranty shall immediately become void, without prejudice to Sinergroup’s right to seek compensation for any damages incurred.

5. Shipping Costs and Additional Services
Shipping costs, any surcharges, the cost of additional services, and any other charges related to the delivery of the goods shall be borne by the Buyer, unless otherwise agreed in writing. For cash-on-delivery shipments, Sinergroup reserves the right to apply an additional charge equal to 2% of the amount to be collected, unless different terms have been agreed in writing.

6. Payments
Invoices must be paid within the agreed terms and according to the payment methods indicated by Sinergroup. In the event of delayed payment, Sinergroup reserves the right to suspend the processing of pending orders and/or refuse new orders until full payment of all amounts due has been made. Any objections or claims shall not entitle the Buyer to suspend or delay payments, unless otherwise agreed in writing with Sinergroup.

7. Acceptance of the Conditions and Final Provisions
By placing an order, the Buyer fully accepts these General Terms and Conditions of Sale. Any exceptions, deviations, or special terms shall be valid only if expressly accepted in writing by Sinergroup. Sinergroup reserves the right to update or amend these General Terms and Conditions of Sale at any time; any such changes shall apply to orders received after their publication or communication. Should one or more clauses of these conditions be deemed null, invalid, or unenforceable, this shall not affect the validity of the remaining provisions. Any dispute relating to sales relationships with Sinergroup shall be governed by Italian law. Unless otherwise agreed in writing, the Court of Latina shall have exclusive jurisdiction.

8. In-House Products – Confidentiality and Prohibition of Competitive Use
The provisions of this article apply exclusively to products designed, assembled, or manufactured internally by Sinergroup, as well as any products designated by the same as confidential, customized, or Sinergroup products. Products merely resold by third parties are excluded, unless otherwise agreed in writing. The Buyer acknowledges that such Sinergroup products may incorporate technical solutions, configurations, construction specifications, assembly criteria, and know-how protected pursuant to Article 98 of the Italian Criminal Code, as well as constituting confidential information of Sinergroup. The purchase of the products does not imply any transfer of intellectual or industrial property rights, nor does it grant any further licenses or authorizations, except for the right to use and resell the products for their ordinary commercial purpose. Unless prior written authorization is obtained from Sinergroup, the Buyer agrees not to use, directly or indirectly (including, but not limited to, disassembly, analysis, reverse engineering, etc.), samples, products, technical or commercial documentation received from Sinergroup to replicate, have replicated, or commission from third parties identical, equivalent, or similar products that compete with Sinergroup Products, or to incorporate Sinergroup Products into competing solutions. The Buyer also agrees not to disclose confidential information relating to such products to third parties and not to use the same products, or information relating to them, for purposes that compete with Sinergroup. In any case, normal use, integration, and resale of the purchased products is permitted, provided that this does not involve the appropriation, exploitation, or reproduction of Sinergroup's know-how and confidential solutions. Violation of this clause will result in the forfeiture of any conventional warranty on the affected products, without prejudice to Sinergroup's right to take action to protect its rights and seek compensation for any damages suffered.

9. Trademarks, Commercial Materials, and Informational Content
All trademarks, trade names, logos, images, photographs, technical data sheets, descriptions, drawings, commercial documentation, product codes, informational content, and, more generally, any materials made available by Sinergroup, whether in printed or digital format, shall remain under the exclusive control of Sinergroup or of their respective owners. Unless previously authorized in writing by Sinergroup, such materials may not be copied, reproduced, distributed, published, modified, used, or disclosed to third parties, in whole or in part, for purposes other than the promotion and resale of original products purchased from Sinergroup. In any case, it is prohibited to use Sinergroup’s trademarks, content, images, descriptions, codes, or commercial materials in relation to non-original, competing, equivalent, compatible, or otherwise non-Sinergroup products where such use may create confusion as to the origin, quality, or characteristics of the products. Any use of Sinergroup’s commercial and informational materials that may facilitate imitation, unfair competition, diversion of customers, or the misappropriation of the commercial, technical, or promotional work carried out by Sinergroup is also prohibited. In the event of a breach of this clause, Sinergroup reserves the right to request the immediate cessation of the unauthorized use, the removal of any improperly used material, and compensation for any damages suffered.
